Terms of Use
These terms are the agreement between you and the person who makes Soritch. They cover the Soritch desktop app, its updates, and soritch.com. Please read them. The parts about investment advice and liability matter most.
1. Who we are
Soritch is made and run by Saaim Japanwala, an individual based in Alberta, Canada, doing business as “Soritch” (“Soritch”, “we”, “us”). You can reach us at [email protected].
2. Accepting these terms
You accept these terms when you download, install or use Soritch, or when you tick the box in the app that says you agree. If you don’t agree, don’t use Soritch, and delete any copies you have.
Our Privacy Policy and Investment Disclaimer are part of these terms.
3. Who can use Soritch
You must be at least 18, or the age of majority where you live if that is higher, and legally able to enter into this agreement. Soritch is not meant for children. You may use Soritch only for your own personal, non-commercial purposes. Don’t use it to manage money for clients or to give investment advice to anyone else.
4. Prerelease software
Soritch is in prerelease. It may have bugs, change without notice, lose data, give wrong numbers, or stop working. Builds may not be signed by Apple or Microsoft, so your computer may warn you before opening them. Download Soritch only from soritch.com or the official download links on it. We don’t promise to keep offering Soritch, to release updates, or to give support.
5. The free prerelease will end
When the paid release launches, or at any earlier time we choose:
- prerelease builds may stop opening, stop receiving data, or have features turned off, with or without an update from us;
- free access ends, and continuing to use Soritch will require a paid subscription under separate terms you will be asked to accept;
- we have no obligation to keep the prerelease running, to offer it a free upgrade, or to move its data into the paid release automatically.
We will try to give at least 30 days’ notice in the app or on soritch.com before prerelease builds stop working. We may not be able to if a data provider cuts off access without warning. Your data is stored on your computer, so export a backup from Settings › Backup › Export before then if you want to keep it. You paid nothing for the prerelease, so no refund or compensation is owed when it ends. The paid release will have its own terms and privacy policy. These terms don’t promise any price, feature or launch date.
6. Your licence to use Soritch
The prerelease is free. We give you a personal, non-exclusive, non-transferable, revocable licence to install and use the app on computers you own or control. The licence lasts until the prerelease ends (section 5) or until you break these terms. We license the software to you. We don’t sell it to you.
Soritch’s source code is published openly. Your rights to the source code come from the licence file published with it, and nothing in these terms reduces those rights. These terms cover the app builds we distribute, the Soritch name and logo, and soritch.com. You agree not to:
- sell, rent or sublicense the Soritch builds we distribute, or use the Soritch name or logo for a copy or fork you distribute;
- remove or change any copyright, trademark or legal notice in Soritch;
- use Soritch to scrape, resell or republish market data or news, or to break the terms of any third-party service it connects to;
- use Soritch to break any law, including securities law, or to manipulate any market;
- bypass any mechanism we use to end the prerelease or to check a paid subscription.
Third-party components inside Soritch are covered by their own licences, listed in our open-source notices.
7. Not investment advice
Soritch is an information and education tool. Specifically:
- Composite scores, the BUY, HOLD and SELL signals, confidence levels, 7-day targets and prediction bands come from fixed formulas run on past data. They are the same for everyone who looks at the same stock. They don’t take your finances, goals, taxes or risk tolerance into account.
- The Planner arranges amounts across sectors and securities using inputs you choose and rules-based scores. It is an illustration. It is not a suitability assessment or a personalised recommendation.
- AI write-ups and chat answers are produced by third-party or local language models. They can be wrong, out of date or made up.
- Lessons in Investment School are general education.
We are not registered with the Alberta Securities Commission or any other securities regulator as an adviser, dealer or portfolio manager, and we don’t act as one for you. No fiduciary or advisory relationship exists between us. Investing involves risk, including losing all the money you invest. Past performance and backtests don’t predict future results. Before you make an investment decision, think about getting advice from a registered professional. The Investment Disclaimer has more detail.
8. Market data, news and other third-party services
Soritch gets information from services we don’t own or control. These include Yahoo Finance for prices and company data, Frankfurter for exchange rates, NewsAPI for headlines, and Google Gemini, Groq or a local Ollama install for AI features. These services:
- may be delayed, incomplete, wrong, or unavailable;
- have their own terms and privacy policies, which apply to you when Soritch contacts them for you;
- may change or cut off access at any time, which could break parts of Soritch.
For NewsAPI, Gemini and Groq you sign up yourself and give Soritch your own API key. You are the customer of those services. You are responsible for following their terms, including any limits on plan type, permitted use, age or region, and for any usage charges on your account. Soritch isn’t affiliated with, endorsed by or sponsored by Yahoo, Google, Groq, NewsAPI, Ollama, any stock exchange, or any company whose securities appear in the app. Their names and marks belong to them.
Prices shown in Soritch are for information only and may not be current. Always check the price with your broker before you trade.
9. Your data and your device
Soritch keeps your portfolios, journal, watchlists, profile and settings in files on your computer. We don’t run a server that stores them, and we can’t recover them for you. You are responsible for:
- backing up your data, for example with Settings › Backup › Export;
- keeping your computer, any exported backup file, and your API keys secure. API keys are stored in plain text in Soritch’s local settings;
- checking that what you enter is accurate.
The optional passcode only stops casual access to the app on a shared computer. It doesn’t encrypt your data. Anyone with access to your user account on the computer can read Soritch’s files.
Soritch is not a record-keeping system for taxes or accounting. Use your broker’s official statements for those.
10. Lessons and files you import
Soritch lets you import lesson files and backup files. Only import files you trust. You are responsible for content you create, import or share, and you confirm that you have the right to use it.
11. Our intellectual property
Soritch and its name, logo, design, code, scoring methods, lessons and website content belong to us or our licensors and are protected by copyright and other laws. These terms don’t give you any rights to them beyond the licence in section 6.
If you send us feedback or suggestions, we may use them for any purpose without paying you or owing you anything.
12. No warranty
To the fullest extent the law allows, Soritch, its content, and all data, scores, signals, predictions, plans and AI output are provided “as is” and “as available”, with no warranties or conditions of any kind, express or implied. This includes warranties or conditions of merchantability, quality, fitness for a particular purpose, accuracy, timeliness, non-infringement, and uninterrupted or error-free operation. We don’t promise that Soritch will meet your needs, that its information is correct, or that it is free of viruses or other harmful parts.
13. Limitation of liability
To the fullest extent the law allows:
- We are not liable for any trading or investment losses, lost profits, lost opportunities, lost data, or indirect, incidental, special, consequential, exemplary or punitive damages arising from or related to Soritch. This applies whatever the legal theory, whether contract, tort (including negligence), statute or otherwise, and even if we were told such damages were possible.
- We are not liable for decisions you make, or don’t make, based on anything Soritch shows you.
- Our total liability for all claims about Soritch is limited to the greater of the amount you paid us for Soritch in the 12 months before the claim (currently nothing) and CA$50.
Some places don’t allow some of these exclusions or limits. Where that is so, they apply only as far as the law permits.
14. Indemnity
To the extent the law allows, you agree to cover our losses, liabilities and reasonable legal costs from third-party claims arising out of your misuse of Soritch, your breach of these terms, or your breach of a third-party service’s terms while using Soritch.
15. Ending this agreement
You can stop using Soritch at any time by deleting it. Use Settings › Reset app data first if you want its local data removed too. We may end your licence if you break these terms. Sections 5, 7, 8, 11, 12, 13, 14, 17 and 18 survive after this agreement ends.
16. Changes to Soritch and these terms
We may change Soritch or these terms. If we make a material change to the terms, we will update the date at the top of this page and ask you to accept the new version in the app. If you keep using Soritch after accepting, or after the change takes effect, the new terms apply. If you don’t agree to a change, stop using Soritch.
17. Governing law and disputes
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods doesn’t apply. You and we agree to the exclusive jurisdiction of the courts of Alberta. Please email us first so we can try to settle any problem informally.
If you are a consumer, nothing in these terms removes rights or protections you have under the consumer-protection laws where you live that can’t be waived by contract. Those rights include the right to bring a claim in your local courts where the law gives you one.
18. General
These terms, with the Privacy Policy and Investment Disclaimer, are the whole agreement between you and us about Soritch. If a court finds part of them unenforceable, the rest still applies. If we don’t enforce a right, we haven’t given it up. You may not transfer these terms. We may transfer them as part of a sale or reorganisation of Soritch. These terms are written in English, and the parties wish it so.
